Kshitij ERP — On-premise Licence Agreement
Last updated 3 November 2026
You run the software on your own server, under a yearly licence. Your server, your security and your backups are yours to look after. We give you updates and support while the licence is paid. If the licence lapses, the software keeps working for 10 days, then goes read-only for 7, then locks. You can always ask us for a free window to take your data out.
- The parties. This agreement is between Kshitij Infotech, [to be confirmed] with its registered office at [to be confirmed], GSTIN [to be confirmed] (“Kshitij”), and the business named in the Order that installs the software (the “Customer”).
- Licence. Kshitij grants the Customer a non-exclusive, non-transferable licence to install and use Kshitij ERP, for the Customer’s own business only. The licence covers the server activated for it and the companies, branches and users in the Order, for the licence year. It renews each year on payment of the renewal fee.
- The licence check. The software checks its licence with Kshitij’s licence service. If the service cannot be reached, the software keeps working for 10 days. After a licence year ends unpaid, the software gives 10 days of full use, then 7 days read-only (everything can be seen and exported, but nothing new can be recorded), and then locks. A lock deletes nothing. On renewal the software unlocks, and a locked Customer can ask for a free 30-day export licence at any time.
- Included while the licence is paid. Updates and support, as in Schedule 2, clause 3 of the SaaS Subscription Agreement. The other service levels in that schedule do not apply, because the Customer runs the server.
- What the Customer is responsible for.
- The server, its operating system and updates, network, power, firewall and physical security. The server must run the supported versions Kshitij publishes.
- Backups. The installer sets up a nightly backup and a check that it ran. Keeping that backup running, keeping a copy away from the server, and testing a restore are the Customer’s job.
- Not copying the software to an unlicensed machine, modifying or reverse-engineering it, or getting around the licence check.
- Data. Customer Data stays on the Customer’s server, and the Customer is its Data Fiduciary. The licence service receives the server’s fingerprint and the licence, and no personal data. Kshitij staff reach the server only when the Customer grants support access, and only for the time it is granted. During that access Kshitij is the Customer’s Data Processor, and Schedule 1 of the SaaS Subscription Agreement applies to it.
- Moving to new hardware. Kshitij moves the licence to a replacement server free of charge up to 2 times a licence year.
- Warranty. For 30 days after installation, the software works materially as its documentation describes. If it does not, Kshitij fixes it, or refunds the first year’s fee and the licence ends.
- Limit of liability. As in clause 11 of the SaaS Subscription Agreement, with the cap at the licence and support fees paid in the 12 months before the claim. In addition, Kshitij is not liable for loss or corruption of data on the Customer’s systems, or for the Customer not keeping backups. If a defect in the software damages data, Kshitij fixes the defect and helps the Customer restore from its own backup.
- Ending. Either party may end the licence for a serious breach that is not fixed within 30 days of written notice. When the licence ends, the Customer stops using the software. Its data stays on its own server, and the export window in clause 3 applies.
- Everything else. Clauses 3, 4, 7, 9, 12, 15, 17, 18, 19 and 20 of the SaaS Subscription Agreement apply, with “the Service” read as “the software”.
